TRIBE CO. MEMBER TERMS OF USE

Thank you for joining Tribe Co. These Terms of Use will govern your use of Tribe Co. Services. Through all web based and mobile applications including the website www.thetribeco.com (“Portal”).

BY ACCEPTING THE TERMS OF THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THE TERMS, CONDITIONS, NOTICES, COLLECTION OF AND USE OF INFORAMTION CONTAINED IN THIS AGREEMENT JUST AS IF YOU HAD SIGNED THIS AGREEMENT.

Tribe Co. operates a membership based subscription service that connects women seeking a variety of professional services (“Client”, You” or “Your”), including personal errands, lawncare, house cleaning, meal preparation, contactors, personal stylists, personal training, and other such services, with professionals who provide those services through its website www.thetribeco.com (“Portal”).  In some instances, Tribe Co. provides services directly to You.

  1. Definitions.
    1. Errands.  Errands means short trips within 10 miles of your home address (or at Tribe Co.’s discretion) in the metro-Richmond coordinated between You and Tribe Co. area to pick-up or deliver items on Your behalf.
    2. In-home services.  In-home services are services provided by Tribe Co. directly to You, as specifically requested and defined by You, in the form of home straightening, loading and unloading the dishwasher, wiping down counter-tops, folding laundry, and other such services.  Tribe Co. can help you with just about anything, as long as it is legal!
    3. On-site liaison.  On-site liaisons are Tribe Co. representatives who will meet service providers at your home for home access. By way of example, an on-site liaison would meet the plumber and remain in the home while the plumber completed the scheduled task or would wait for a delivery of furniture or appliances that are to be delivered in a time range.  Again, Tribe Co. can help with pretty much anything, as long as it is legal!
    4. Scheduled Services.  Scheduled Services are services arranged through Tribe Co. and provided trusted service providers.
    5. Trusted Services Providers.  Trusted Service Providers are the select service providers used by Tribe Co. to provide Scheduled Services.
  1. Membership and Benefits.  Tribe Co. offers three levels of membership plans (“Plans”).  All plans require a one-time $50 enrollment fee.
    1. Rules.
      1. Hours do not roll-over from one month to the next.
      2. Additional errands and in-home “Sprucing” services may be added to any plan at an additional cost of $30 per hour.
      3. Membership will renew automatically on a month to month basis unless and until You or Tribe Co. terminates this Agreement as provided for in Section 7.
      4. All members must be at least 18 years of age to be a Member.
    2. Membership Levels (Beta): Tribe Co. Offers three levels of membership: Silver, Gold, and Platinum.  The benefits for each level are listed on our website.

Membership services are subject to change.  

  1. Services and Scheduling.  As a Member, you may arrange services through Tribe Co. by logging in to Your membership on the Tribe Co. Portal, by calling Tribe Co. at 804-396-6722 or by emailing Tribe Co. at members@thetribeco.com to request a service.
    1. Coordination of Services. From time to time, and at Your request, Tribe Co. will coordinate, schedule or book Services with its trusted providers, on Your behalf.  You is responsible for the costs of all services.
    2. Tribe Co. Services.  From time to time, and at Your request, Tribe Co. will directly provide in home services as requested by you and coordinated with a Tribe Co. representative.
    3. Service Availability Not Guaranteed.  Tribe Co. makes no guarantee services will be accessible or available at the requested time.   You understand that a requested service provider or service may not always be available at the requested times.  Tribe Co. reserves the right to decline any requested Service that it deems inappropriate or unlawful.
  • Billing, Payments and Fees
    1. Monthly Membership.  Tribe Co. will bill You monthly for membership and for additional services requested beyond Your membership using Your card on-file with Tribe Co.  By entering this Agreement, You agree to provide accurate payment information and to keep payment information up-to-date through the Client Portal.
    2. Payments to Services Providers. YOU are responsible for paying all service providers for the services provided.  When necessary, Tribe Co. will make payments to service providers on Your behalf and bill you for those services.
    3. Failure to Pay. Failure to pay Service Provider or to reimburse Tribe Co. for Services may result in forfeiture of membership in Tribe Co.  This will be determined on a case-by case basis by Tribe Co.
    4. Transaction Fees.  Purchases made by Tribe Co. on behalf of Member are subject to taxes and transaction fees.
  1. Privacy Policy.  In order to arrange for Services under this Agreement, Tribe Co. may collect certain personal information including Member’s name, phone number, cellular phone number, address, email, and other information.  Tribe Co. will only disclose this information to the extent necessary to effectuate the Services sought by member. Tribe Co. will also collect credit card information to be used for Membership payments and as needed and authorized by Member to pay for additional fees and services.  Tribe Co. will not share this information with Service Providers or third parties.
  1. Conflicts and Concerns with Service Providers.  Member and Service Provider are responsible for resolving any conflicts or disputes between the two with regard to Services.  Tribe Co. will not act as an intermediary for dispute resolution. Tribe Co. welcomes feedback on all Service Providers and would like to be made aware of any issues Member has with a Service Provider via email  at members@thetribeco.com.
  2. Term and Termination.  Membership shall be month-to-month. Either Party may terminate this Agreement at any time by providing thirty (30) days written notice.  
    1. Termination by Tribe Co. Tribe Co. may suspend or terminate Membership Benefits, with immediate effect, for the following infractions:
      1. Failure to provide and maintain appropriate billing and credit care information.
      2. Inappropriate or unsafe conduct
      3. Failure to pay Service Provider
      4. Any other breach of this Agreement where such breach is not cured within fourteen (14) days written notice of the issue.
  1. Indemnification.
    1. You hereby indemnifies and agrees to defend and hold harmless Tribe Co. from and against any and all claims, demands and actions, and any liabilities, damages or expenses resulting therefrom, including court costs and reasonable attorneys’ fees, arising out of Services performed under this Agreement.  This provision shall survive the termination, for any reason, of this Agreement.
    2. You agree to indemnify, defend, and hold harmless Tribe Co. and its officers, directors, shareholders, employees, Members, Clients, agents, and its or their successors and assigns from and against any and all claims, demands, losses, cots, expenses, obligations, liabilities, damages, recoveries, and deficiencies including interest, penalties, reasonable legal fees and costs, that any  of the foregoing persons or any other persons may incur or suffer and that result from or are related to (a) the performance of Services; (b) any breach or failure by Professional to perform the Services or abide by the representations, warranties, and agreements set forth herein or incorporated by reference; (c) Professional’s violation of any law or rights of third parties, including Your, or other individuals associated with Tribe Co. as a result of Professional’s interaction with such third party; (d) any other activities in connection with the Services.  This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.
  1. Limited Warranties and Limited Liabilities
    1. EXCEPT AS EXPRESSLY PROVIDED HEREIN, TRIBE CO. DOES NOT MAKE ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WHATSOEVER REGARDING MEMBERSHIP OR SERVICES INCLUDING WITHOUT LIMITATIONS ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. FURTHER, THE TRIBE CO. CANNOT GUARANTEE THAT ANY BENEFITS OR SERVICES PROVIDED BY TRIBE CO. WILL PRODUCE RESULTS ANTICIPATED BY YOU.
    1. Limitation of Liability. IN NO EVENT SHALL TRIBE CO.’S TOTAL LIABILITY FOR ANY DAMAGES, COSTS OR EXPENSES IN ANY ACTION BASED ON CONTRACT OR TORT ARISING OUT OF OR IN CONNECTION WITH THE DELIVERABLES OR WITH THE SERVICES EXCEED THE TOTAL AMOUNT PAID OR PAYABLE BY YOU TO TRIBE CO. UNDER THIS AGREEMENT. EXCEPT WITH REGARD TO THE INDEMNIFICATION OBLIGATIONS PROVIDED HEREIN, IN NO EVENT SHALL  TRIBE CO. BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, PROPERTY DAMAGE, PHYSICAL DAMAGES, BODILY INJURY, DEATH AND/OR EMOTIONAL DISTRESS AND DISCOMFORT OR ANY OTHER DAMAGES, INCURRED BY YOU ARISING OUT OF ANY SERVICES PROVIDED BY ANY SERVICE PROVIDERS.
  1. Changes to the Terms. Tribe Co. may make changes to these Terms from time to time.  When Tribe Co. does so, it will post the most current version of the Terms on its Website/Portal and if a revision to the terms is material, Tribe Co. will notify you of the new Terms via email.  Changes to these Terms are not retroactive.
  1. Miscellaneous.
    1. Governing Law. This Agreement shall be governed by, construed and enforced in accordance with the laws of the Commonwealth of Virginia without regard to choice of law principles thereof. Each party consents to the exclusive jurisdiction of the state courts located in Henrico County, Virginia.
    2. Assignment. You may not assign this Agreement or the associated Membership to anyone and any attempt to do so will be void.
    3. True and Accurate Information.  As a condition of Membership, You  agree to provide true and accurate information and billing information and to update that information as necessary to keep it current.
    4. Notice.  For purposes of this Agreement, notices and all other communications provided for in this Agreement shall be in writing and delivered via electronic mail as follows:

If to YOU :  Tribe Co. will communicate with You using the email address you used to register your account with Tribe Co.

    1. Severability. To the extent that any provision of this Agreement shall be invalid or unenforceable, it shall be considered deleted and the remainder of such provision and of this Agreement shall be unaffected and shall continue in full force and effect. If any provision of this Agreement is adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
    2. Entire Agreement. This Agreement, and any attached Exhibits, represents the entire agreement and understanding between the parties and replaces any and all other agreements, verbal or otherwise, between the parties. No agreements, representations, oral or otherwise, express or implied, with respect to this Agreement have been made by either party which are not expressly set forth in this Agreement or attached Exhibits(s).
    3. Modifications. No provision of this Agreement may be modified, waived or discharged unless such modification, waiver or discharge is agreed to in writing and signed by each Party.
    4. Non-Waiver. Tribe Co.’s failure to monitor or enforce any provision of these Terms shall not constitute a waiver of its right to do so in the future.  Nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breach or default or a waiver of the provision itself.
    5. Injunctive Relief. You agree that the violation of any term contained in this Agreement may cause immediate and irreparable harm to Tribe Co., the amount of which may be difficult or impossible to estimate or determine.  If You violate any term contained in this Agreement, Tribe Co. shall have the right to equitable relief by injunction or otherwise, in addition to all other rights and remedies afforded by law.
    6. Attorney’s Fees. Should Tribe Co. have to resort to litigation to enforce this Agreement, Tribe Co. shall be entitled, in addition to such other relief as may be granted, to recover its reasonable attorneys’ fees and costs in such litigation.
